1. Definitions

• "Service" refers to the PartsTrace website, applications, and all related services.
• "User", "you", or "your" refers to any individual or entity that accesses or uses the Service.
• "Account" refers to your registered account on the Service.
• "Content" refers to any information, data, text, images, or other materials submitted to or through the Service.
• "Subscription" refers to your paid access to the Service features.
• "Item" or "TraceItem" refers to the rare or hard-to-find part you register for scanning.

2. Description of Service

PartsTrace is an AI-powered marketplace searching service that:

• Scans online marketplaces to find items matching your registered search criteria
• Uses artificial intelligence and machine learning algorithms to identify potential matches
• Sends notifications when potential matches are found
• Provides a dashboard to manage your items and view matches

We do not sell, buy, or facilitate transactions for any items. We provide information services only. Any transactions you conduct with third-party sellers are entirely at your own risk and outside the scope of our Service.

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to use this Service. By using the Service, you represent and warrant that you meet this requirement.

3.2 Account Creation

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.3 Account Restrictions

You may only create one account per person. Creating multiple accounts to circumvent restrictions, abuse promotions, or for any fraudulent purpose is strictly prohibited and will result in immediate termination of all accounts.

4. Subscriptions and Payments

4.1 Subscription Plans

The Service is offered on a subscription basis. Details of available plans, features, and pricing are displayed on our website. We reserve the right to modify pricing and features with reasonable notice.

4.2 Free Trial

We may offer a free trial period for new users. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. Only one free trial is permitted per person.

4.3 Billing and Renewal

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your chosen plan). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorise us to charge your payment method on file for all applicable fees.

4.4 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting us. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until your subscription expires.

4.5 Refunds and Cancellation

Our Service is a digital service that begins immediately upon subscription. When you subscribe, you expressly consent to the Service beginning immediately and acknowledge that you lose your right of withdrawal once the digital content has been fully provided.

For EU/UK Consumers

Under the Consumer Contracts Regulations, you normally have a 14-day cooling-off period for digital services. However, by subscribing to our Service, you expressly request that we begin providing the Service immediately and you acknowledge that you will lose your right to cancel once the Service has been fully provided during your subscription period. If you cancel during your subscription period, you will retain access until the end of your current billing period but will not receive a refund for the remaining time.

Cancellation Policy

You may cancel your subscription at any time. When you cancel:

• You will retain full access to the Service until the end of your current billing period
• Your subscription will not renew at the end of the billing period
• You will not be charged again after the current billing period
• No refunds or credits will be provided for the unused portion of your billing period

No Guarantee of Results

We make no guarantees that items will be found. The nature of rare and hard-to-find parts searching means results vary based on marketplace availability, which is beyond our control. The absence of matches does not constitute grounds for a refund or cancellation credit. We strongly recommend using our free trial period to evaluate whether the Service meets your needs before subscribing.

Statutory Rights

Nothing in this section affects your statutory rights as a consumer. If you believe you have a valid legal claim under consumer protection laws in your jurisdiction, please contact us.

4.6 Price Changes

We reserve the right to adjust pricing at any time. Any price changes will be communicated to you at least 30 days before they take effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use Policy

5.1 Permitted Use

The Service is intended for personal, non-commercial use to find rare and hard-to-find parts for your own collection or legitimate resale purposes. You may use the Service only in compliance with these Terms and all applicable laws and regulations.

5.2 Prohibited Items

You may not use the Service to search for items that are:

• Illegal to buy, sell, or possess in your jurisdiction or ours
• Stolen property or items you suspect to be stolen
• Weapons, ammunition, explosives, or related accessories
• Controlled substances, drugs, or drug paraphernalia
• Hazardous materials or dangerous goods
• Counterfeit items or items that infringe intellectual property rights
• Adult or sexually explicit materials
• Human remains, body parts, or items made from protected species
• Items promoting hatred, violence, or discrimination
• Any other items we deem inappropriate at our sole discretion

5.3 Prohibited Conduct

You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service for any fraudulent or deceptive purposes
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers

You retain ownership of any Content you submit to the Service. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and display such Content solely for the purpose of operating and improving the Service.

6.3 Third-Party Content

The Service may display content from third-party marketplaces. We do not claim ownership of such content and display it solely to provide our matching service. All third-party content remains the property of its respective owners.

7. Disclaimers and Limitations of Liability

7.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

7.2 No Guarantee of Results

We do not guarantee that the Service will find any matches for your registered items, that matches will be accurate, or that items found will still be available for purchase. The availability and accuracy of marketplace listings are beyond our control.

7.3 Third-Party Transactions

We are not a party to any transactions between you and third-party sellers. We do not verify the identity of sellers, the authenticity of items, or the accuracy of listings. Any purchases you make are entirely at your own risk. We are not responsible for disputes, fraud, misrepresentation, or any issues arising from third-party transactions.

7.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PARTSTRACE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on or related to the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

• Your violation of any third-party rights, including intellectual property rights
• Any Content you submit to the Service
• Any activity related to your account

9. Termination

9.1 Termination by You

You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion. Upon termination, your right to use the Service will immediately cease.

9.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Extended periods of inactivity
• At the request of law enforcement or government agencies

9.3 Effect of Termination

Upon termination, your licence to use the Service is revoked. We may delete your account data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. This choice of law does not affect your statutory rights as a consumer under the mandatory consumer protection laws of your country of residence.

If you are a consumer in the European Union or United Kingdom, you will benefit from any mandatory provisions of consumer protection law in your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions.

For users in the United States, any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that you may assert claims in small claims court if eligible.

10.4 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorised representative.

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

12.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
